Corporate Transactions


We assist our clients with mergers and acquisitions as buyers and sellers, as well as with the broad variety of other corporate transactions undertaken by banks and their holding companies. We provide counsel on structuring the transaction, including tax planning. We can help you negotiate the terms of your transaction, draft letters of intent, perform due diligence, search names/trademarks, advise on trademark issues and register if needed, raise capital, prepare all necessary documentation, and secure all required Federal and state regulatory approvals. We work with your board of directors to document corporate approvals, and prepare the information to go to your shareholders in connection with shareholder meetings to obtain the necessary shareholder approvals for the transaction. We can also attend the meeting in order to assist you. Finally, we can help you close the transaction and with post-closing matters, such as structuring employee benefits, non-compete agreements and executive compensation and reviewing the impact of the transaction on employee benefit plans.

We can also help you with setting up subsidiaries to enter into new lines of business, such as broker-dealers, investment advisers, and insurance, and with obtaining the regulatory approvals necessary to permit such subsidiaries to engage in the business.
